E-Commerce rules

These Terms and Conditions of Electronic Commerce (hereinafter referred to as the "Terms and Conditions") are a mandatory and integral part of the contract of sale and purchase concluded between the online store https://www.kuvings.lt or UAB OPTITA - convenient purchase application (hereinafter referred to as UAB OPTITA, we) and UAB OPTITA customer (hereinafter referred to as you), which informs you about the terms and conditions of purchase and sale of goods of the e-shop and determines the UAB OPTITA and your rights and obligations in relation to the purchase - sale of goods in the e-shop. The operator of the online store https://www.kuvings.lt and the UAB OPTITA - convenient purchase application is UAB OPTITA, company code 176637762, registered office address S.Dariaus ir S.Girėno g. 24, Šilalė, Republic of Lithuania.

I. General provisions

1. The following persons are entitled to use the services of the online shop www.kuvings.lt and/or the application of UAB OPTITA:

1.1. able-bodied natural persons aged at least 18 years;

1.2. minors between the ages of 15 and 18 only with the consent of their parents, adoptive parents or guardians, except in the case of self-disposal of their earnings or scholarship;

1.3. legal persons;

1.4. authorised representatives of all the above.

2. If you want to use the e-shop services, you must register. The registration is deemed to have taken place and to be valid once you have electronically submitted your information and proceeded to the next steps.

3. The personal data (name, surname, address, telephone number, e-mail address) provided by you when registering in the online store www.kuvings.lt and/or in the UAB OPTITA application and/or using their functions are stored and processed in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC, the Law on the Legal Protection of Personal Data of the Republic of Lithuania, other data protection legislation, and the UAB OPTITA Privacy Policy.

4. The prices of the goods indicated in the catalogue of the online store are valid only when purchasing these goods in the online store www.kuvings.lt and/or in the application of UAB OPTITA. The prices of the goods in the online shop www.kuvings.lt and/or in the OPTITA UAB application are inclusive of VAT. Delivery prices are not included and are to be specified separately when placing an order. The delivery price is clearly indicated to you before the order confirmation and is highlighted in the order confirmation itself.

5. The contract of sale shall be deemed to have been concluded from the moment when you have created a shopping cart, specified the delivery address, selected the payment method and read (clicked on the button "I agree with the terms of purchase") these Terms and Conditions in the online store www.kuvings.lt and/or in the application of UAB OPTITA, clicked on the "Confirm order" button. The contract concluded electronically between UAB OPTITA and you is stored in the online shop www.kuvings.lt and/or in the UAB OPTITA application and can be accessed by you in electronic form.

6. UAB OPTITA informs you of the conclusion of the sale and purchase agreement by sending a notification to the e-mail address you have provided.

II. Your RIGHTS AND DUTIES

7. You can choose and order any product from the catalogues of the online shop www.kuvings.lt and/or the application of UAB OPTITA.

8. By using the services of the online shop www.kuvings.lt and/or the application of UAB OPTITA, you agree to these Terms and Conditions and must comply with them.

9. You must provide complete and correct data in the registration form of the online shop www.kuvings.lt and/or the OPTITA UAB application. If your personal data is changed and we are not informed of this, you shall bear the entire risk of any resulting loss.

10. You are responsible for all of your actions when using the online shop www.kuvings.lt and/or the OPTITA UAB application.

11. It is forbidden for the same person to register and use the services provided by the online shop www.kuvings.lt and/or the application of UAB OPTITA under more than one name.

12. You must be present at the place and time specified to receive the goods ordered.

13. You undertake not to disclose your registration and login details to any third party. If you lose your login data, you must immediately inform UAB OPTITA at uzsakymai@optita.lt or info@optita.lt. OPTITA shall not be liable for the actions of third parties who have used your login data prior to the moment of notification. In this case, UAB OPTITA has the right to consider that the actions in the e-shop were performed by you.

14. OPTITA UAB shall not be liable for the actions of third parties when they use your banking system to enter into sale and purchase agreements using the e-shop services.

15. In order to be able to offer you a complete service on our website, we ask you to allow us to record information on your computer (device) (cookies). We will use the information recorded to identify you as a previous user of the website and to collect website traffic statistics. You can view what information (cookies) we record at any time and you can delete some or all of the cookies we have recorded. You also have the right to object to the recording and use of information (cookies) on your computer/device, but in this case some of the functions of the website may not be available to you. You can withdraw your consent at any time by changing your browser settings or by contacting us using any of the contact details published on the website. III. Rights and obligations of OPTITA UAB

16. If, during or after registration, false, inaccurate, misleading or incomplete data are provided, or if you do not comply with other obligations provided for in these Terms and Conditions, OPTITA UAB shall have the right to immediately cancel your registration and delete your data or restrict your right to use the services provided by the e-shop. You are solely responsible for the consequences of any incorrect data provided by you.

17. OPTITA UAB reserves the right, without prior notice, to suspend or terminate your registration and use of the e-shop if there is reason to believe that you are engaging in unauthorised activity or otherwise attempting to interfere with the operation of the e-shop or the stability of the e-shop.

18. OPTITA UAB undertakes to provide you with all the conditions to use the services provided by the e-shop.

19. OPTITA UAB undertakes to offer you a similar product in the event of unforeseen circumstances, if it is unable to deliver the goods you have ordered. If you refuse to accept an analogue product, we will refund the money paid within 72 (seventy-two) hours if you have made a prepayment.

IV. Payment for goods

20. You can pay for your goods by:

20.1. in cash at the point of sale or by courier;

20.2. by bank card;

20.3. using the Bank's online banking systems;

20.4. by advance bank transfer;

20.5. hire purchase (leasing);

V. Administration fee

21. An administration fee of €2.50 is charged for orders up to €10.00. This fee is intended to cover logistics, bookkeeping and order processing.

22. If the value of the order exceeds €10.00, no administration fee is charged.

VI. Delivery of Goods

23. You have the right to choose one of the following methods of delivery for purchased goods:

23.1. collection from UAB OPTITA outlets

23.2. delivery by courier;

23.3. collection at an Omniva post office, LP Express terminal or DPD Pickup point.

24. For more information on delivery conditions, terms and methods, please refer to the delivery conditions of UAB OPTITA.

25. If you choose courier delivery, the goods will be delivered by an authorised representative of UAB OPTITA. Once you have signed the consignment note, the consignment shall be deemed to have been duly handed over (delivered).

26. At the time of delivery, you must inspect the condition of the consignment together with our authorised representative. If you are dissatisfied with the condition of the goods, you have the right not to sign the bill of lading and to return the goods. Once you have signed the bill of lading, we do not accept any liability for the condition of the goods, i.e. external damage (unless it is a factory defect) and defects in the assembly. If the delivered goods do not contain any parts or documents (e.g. warranty card, etc.), you must inform the management of OPTITA UAB immediately.

27. If you do not arrive at the time specified by UAB OPTITA to pick up the goods from the selected outlet, they will be stored for a maximum of 4 (four) days, and the time of re-pick-up must be agreed in advance with the UAB OPTITA administration. If you are more than 30 (thirty) days late in collecting the goods, OPTITA UAB will send you a notice of its intention to terminate the contract within the next 5 (five) working days. If you fail to respond to the notice, OPTITA UAB shall terminate the contract of sale, deduct from the money you have paid for the product the storage costs, which may not exceed €14.48, and return the remaining amount of the money to the bank account specified by you.

28. E-commerce delivery costs are not included in the quoted price and are indicated to you at the time of placing your order as provided for in Clause 4 of the Terms and Conditions.

VII. Guarantees for goods

29. All products are subject to the manufacturer's warranty periods. The warranty period is specified in the warranty certificate or equivalent document issued to you ("Warranty Document").

30. Repairs are free of charge for goods that are defective within the warranty period.

31. In case of a product failure, you can contact us for warranty repairs by phone +370 449 74017 or at the addresses of the warranty repair service(s) indicated in the warranty document.

32. When submitting the product for repair, you must present a valid Warranty document and a proof of purchase (invoice).

33. Goods are covered by a statutory warranty (legal warranty) under the terms and conditions set out in the Civil Code, which is not limited by the warranty terms and conditions set by the manufacturers.

VIII. Return of defective goods, right of withdrawal from distance contracts

34. The provisions of the Civil Code of the Republic of Lithuania and the Retail Trade Rules shall apply to the return of goods.

35. When returning a faulty product, OPTITA UAB undertakes to accept the faulty product and, in the absence of your objection, to replace it with a similar product. If you object to the replacement of the faulty product with a quality product, we will refund the money paid for the faulty product within 72 (seventy two) hours. In the event that it becomes apparent that OPTITA UAB does not have an equivalent product, you will be refunded the money paid for the product within 72 (seventy-two) hours from the time of this discovery.

36. The returned product must be fully complete. You are responsible for the completeness of the goods. If the goods are not complete, they are not accepted for return.

37. You, as a consumer, have the right to withdraw from the distance sales contract by notifying us in writing (by email to uzsakymai@optita.lt) within 14 (fourteen) days from the date of delivery of the goods, without giving any reason. This means that you may return the quality product to OPTITA UAB within 14 (fourteen) days of delivery and withdraw from the contract, provided that the item has not been used, is undamaged, has retained its usable characteristics and has not lost its merchantable appearance.

38. In the event of withdrawal from a distance sales contract, the goods must be returned in the packaging in which they were delivered. The packaging should be undamaged, clean, properly prepared and packed. OPTITA Ltd. wishes to make every effort to comply with the specified requirements for packaging and protection of the goods against external damage.

39. To withdraw from a distance sales contract, you must notify your withdrawal in writing within the time limit set out in the Rules to the contact addresses set out in Clause 37 of the Rules. You may, but are not obliged to, use the Model Withdrawal Form when notifying your withdrawal. You will receive a notification of confirmation of your withdrawal by email to the email address you have provided. If you do not receive confirmation within 10 working hours, you must contact OPTITA UAB by telephone. If you withdraw from the Contract, you must agree with the Seller the method of returning the Goods (all issues of collection, removal and other transport to the Seller's specified location) by telephone or e-mail within 3 (three) working days. In this case, you must return the purchased Goods to the Seller yourself in accordance with the requirements of Clauses 36 and 38 of the Regulations. You shall bear the costs of returning the Goods, which may be significant and are provisionally estimated according to the parameters of the Goods purchased by you by means of the calculators (1), (2), (3) of the parcel service companies, if the Goods, due to their technical parameters, cannot be returned by post. In the event of withdrawal from the Contract, the money paid for the Goods will be refunded within 5 (five) working days from the date of return of the Goods, including delivery costs (except for any additional costs incurred if you have chosen a delivery method other than the cheapest standard delivery method offered by us). Returns will be made using the same method of payment as you used for the original payment transaction, unless you have expressly agreed to another method, in which case you will not be liable to pay any fees in connection with such return.

40. If you, as a consumer, withdraw from the contract in accordance with Article 6.22810(9) of the Civil Code, you will have to pay OPTITA proportionally for the services provided up to the moment of your notice of withdrawal, as provided for under Article 6.22811(9) of the Civil Code.

41. The right of withdrawal does not apply in the following cases:

41.1. contracts for packaged goods that have been unpacked after delivery and are unsuitable for return for health or hygiene reasons;

41.2. contracts for goods which, by their nature, are indistinguishable from other goods after delivery;

41.3. service contracts where the services have been fully provided to you;

41.4. contracts for perishable goods or goods with a short shelf life;

41.5. contracts for packaged video or audio recordings or packaged software that have been unpacked after delivery;

41.6. in other cases provided for in the Civil Code of the Republic of Lithuania.

IX. Final provisions

42. OPTITA UAB reserves the right to suspend, amend or modify these Terms and Conditions and other documents related to the Terms and Conditions at its sole discretion by notifying you in the e-shop. Amendments or changes to the Terms and Conditions shall come into force from the date of their publication, i.e. from the date on which they are posted on the e-shop system.

43. If you do not agree with the new wording of the Rules, amendments, additions, changes, you have the right to refuse them, provided that you lose the right to use the e-shop services.

44. If you continue to use the services provided by the e-shop after the amendment of the Terms and Conditions, you shall be deemed to have accepted the new version of the Terms and Conditions or any amendments or additions thereto.

45. Any disagreements regarding the application of these Rules shall be settled by negotiation. In the event of failure to reach an agreement within 30 (thirty) days, the disagreement shall be settled in accordance with the procedure established by the laws of the Republic of Lithuania.

47. These Rules shall be governed by the laws of the Republic of Lithuania.
